Terms of Service

TEMPLATE — REVIEW WITH LEGAL COUNSEL BEFORE PRODUCTION USE. This document is structurally complete and reflects how the product actually behaves, but the legal language has not been reviewed by qualified counsel and is not binding until counsel approves it.

1. Acceptance of these terms

By creating an account, signing in, or otherwise using TimeTracker (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and “you” refers to both you and that organization.

If you do not agree to these Terms, do not create an account and do not use the Service.

2. Definitions

  • “Service” means the TimeTracker time-tracking, project-management, and invoicing application, including the web application, public APIs, and related services we operate.
  • “Account” means a registered user identity on the Service, including any associated authentication credentials.
  • “Organization” means a multi-tenant workspace within the Service that contains projects, members, time entries, and billing.
  • “User Content” means data you submit to the Service, including time entries, project metadata, client and invoice records, file attachments, and configuration.
  • “Subscription” means a paid plan you select for an Organization, billed through our payment processor.
  • “We”, “us”, “our” means [TEMPLATE — counsel to fill operating entity name and registered address].

3. Eligibility and account creation

You must be at least sixteen (16) years old to create an Account. By creating an Account you confirm that you meet this minimum age and that the information you provide during registration is accurate, current, and complete.

We may refuse, suspend, or terminate accounts at our discretion where required by applicable law or where we reasonably believe an Account has been created in violation of these Terms.

4. Account responsibility and security

You are responsible for safeguarding your authentication credentials and for any activity that occurs under your Account. You agree to notify us promptly of any unauthorized access or suspected breach. We are not liable for loss or damage arising from your failure to comply with this section.

5. Acceptable use

You agree not to:

  • use the Service for any unlawful purpose or in violation of any applicable law or regulation;
  • attempt to gain unauthorized access to any part of the Service, including other tenants’ data;
  • interfere with the operation of the Service, including via denial-of-service, scraping at rates that disrupt other users, or by introducing malicious code;
  • reverse-engineer, decompile, or attempt to extract source code from the Service except where applicable law expressly permits it;
  • resell or sublicense the Service without our written permission;
  • use the Service to store or transmit content that infringes intellectual property rights, violates privacy law, or constitutes harassment, defamation, or hate speech.

Violations of this section may result in immediate suspension or termination.

6. Subscriptions, billing, and refunds

Paid plans are billed in advance for the subscription period you select. Billing is handled by our payment processor (Stripe). You authorize recurring charges to your selected payment method for the duration of your subscription.

You may cancel a Subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period; we do not pro-rate refunds for unused time within a paid period unless required by applicable law.

We may change pricing for new subscription terms with at least thirty (30) days’ notice. Pricing changes do not affect a Subscription term you have already paid for.

7. Content ownership

You retain all rights to your User Content. By submitting User Content to the Service, you grant us a limited, non-exclusive, royalty-free license to host, process, transmit, and display that content solely for the purpose of operating the Service for you and your Organization.

We claim no ownership over User Content. We do not sell User Content to third parties and do not use it to train machine-learning models or for any purpose other than operating and improving the Service for you.

8. Service availability and changes

We strive to keep the Service available but do not guarantee uninterrupted operation. We may, with reasonable notice where practical, modify, suspend, or discontinue any feature of the Service. Where a discontinuation materially reduces the value of a paid Subscription, you may cancel for the remaining paid period and receive a pro-rata refund.

9. Suspension and termination

We may suspend or terminate your Account or any feature of the Service if you materially breach these Terms, if required to comply with applicable law, or if continued operation would expose us or other users to material risk. Where possible, we will notify you of the reason and give you a reasonable opportunity to remedy the breach.

You may close your Account at any time from the Privacy Center. On termination, your right to use the Service ends immediately. We will retain or delete your User Content in accordance with our Privacy Policy.

10. Disclaimers and limitation of liability

The Service is provided “as is” and “as available”, without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement, except where such disclaimers are not permitted by applicable law.

To the maximum extent permitted by law, our aggregate liability arising out of or relating to these Terms or the Service will not exceed the amount you paid us for the Service in the twelve (12) months preceding the event giving rise to the claim. Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions, our liability is limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify and hold us harmless from any claim, demand, or expense (including reasonable attorneys’ fees) arising out of your breach of these Terms, your misuse of the Service, or your violation of any applicable law.

12. Governing law and dispute resolution

13. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will notify Account holders by email or in-app notice at least thirty (30) days before the changes take effect, and we will require re-acceptance before continued use of the Service. The current version is recorded in our acceptance log together with the precise wording you accepted.
